Terms and Conditions of Sale:
  1. In these terms and conditions the expression “Seller” means Nova Motors Limited and “Buyer” means the person / company referred to in Part I overleaf.
    1. All sales effected by the Seller either by cash or hire purchase shall be made on the following terms and conditions which supersede any earlier sets of conditions appearing in letters, invoices or other documents of the Seller and shall also override any terms or conditions stipulated, incorporated or referred by the Buyer in the Buyer’s order or in negotiations.
    2. Any third party acting with the apparent authority of the Buyer (whether express, implied or ostensible) in respect of this contract, or in handling any vehicle or articles or documents related this contract shall be conclusively deemed to have full and unrestricted authority from the Buyer to act on the Buyer’s behalf.
  2. All prices quoted in Part II overleaf are made on the basis that prices are subject to fluctuation in:
    1. the rate of exchange between the Japanese Yen or other foreign currency and the Hong Kong Dollar and the total price of the vehicle sold will at the discretion of the Seller be subject to adjustment in accordance with the rate of exchange prevailing at the time of delivery of the vehicle.
    2. the current rates of vehicle tax (first Registration Tax and License Fee) payable to the Hong Kong Government when in the event of any tax increase between the date of confirmation of the Buyer’s Order and delivery of the vehicle to the Buyer the additional sum will be paid by the Buyers
  3. The Seller reserves the right to alter or change prices and/or specifications of the vehicle and extras described in Part II overleaf without notice.
  4. No contract is binding between the Buyer and the Seller until such time as the order has been approved and signed by a manger of one of the Seller’s branches or a director of the Seller in the section provided.
  5. The Seller will not be held responsible for obtaining special registration numbers from the Transport Department of the Hong Kong Government and all vehicles licensed are done so on the express understanding that the Buyer is prepared to accept the license number as issued by the Hong Kong Government.
  6. Any new vehicle is sold by the Seller with the benefit of the manufacturer’s warranty (if any), terms and conditions of which are specified in the Warranty Booklet issued with each new vehicle.
  7. No warranty or guarantee is given by the Seller in respect of the sale of used vehicles.
  8. Any time or date named by the Seller for delivery is given and intended as an estimate only. Time of delivery shall not be of the essence and the Seller shall not be liable to make good any loss or damage whatsoever arising directly or indirectly out of delay in delivery howsoever caused and the Buyer shall be obliged to accept delivery notwithstanding such delay.
  9. Vehicles are available on hire purchase or lease or cash terms only:
    1. Hire purchase or lease shall be arranged only through banks or finance companies designated by the Seller and delivery of the vehicle is subject to their acceptance of the Buyer for hire purchase or lease purposes at the sole discretion and their receipt by the Seller of fully completed hire purchase or lease documents and payment of the downpayment or initial payment at the time of delivery;
    2. All other transactions shall be cash transactions and VEHICLES ARE DELIVERED ONLY AGAINST FULL CASH PAYMENT AT THE TIME OF DELIVERY unless expressly agreed in writing by the Seller by a person authorised under Clause 5 above in which event all overdue accounts shall bear interest at the rate of 1 ½% per month until payment in full of all sums (including interest) due hereunder.
    1. A minimum deposit of the amount determined by the Seller, from time to time is required by the Seller before any new vehicle can be licensed on behalf of the Buyer. In the event of the failure of the Buyer to complete the purchase for any reason such deposit will be forfeited in part satisfaction of loss thereby incurred by the Seller.
    2. In the event of there being more than one contract for the sale of vehicles(s) between the Seller and the Buyer and in the event of the Buyer breaching any terms or conditions of nay such contract, or in the event of the Buyer being indebted to the Seller on any other account whatever the Seller shall be entitled to withhold delivery of all or part of the vehicle(s) which are the subject of nay such contract until the Buyer has rectified such breach of terms or conditions or has satisfied such debts or claims, and the Seller shall be entitled to satisfy itself for nay such debts or claims out of any deposit or other moneys of the Buyer held by it.
  10. The Buyer is responsible for, at his own expense, arranging proper insurance coverage for the vehicle. A cover note providing temporary insurance coverage should be delivered to the Seller at least one day prior to registering the vehicle with the Transport Department of Hong Kong and/or other Government Authorities.
  11. The vehicle shall conclusively be deemed to have been delivered to the Buyer upon leaving the Seller’s premises, and risks shall pass onto the Buyer. The Buyer shall, at his own expenses, arrange collection of the vehicle from the Seller’s premises. At the request of the Buyer, employees of the Seller may deliver the vehicle to any such place as may be arranged for and on behalf of and as agent for the Buyer. The Buyer expressly agrees to be responsible for all loss and/or damages sustained by any person including the Seller’s employees following delivery, howsoever such loss and/or damages, arise and the Seller and its employees shall under no circumstances be responsible for any claim for loss of or damages to the vehicle or to any third party, arising after delivery.
  12. The Buyer shall be responsible for application of special licences, permits and/or letters of approval should any such special licences, permits, and/or letters of approval be required for licencing the vehicle.
  13. Where a part-exchange vehicle is traded in as record in Part IV overleaf the Buyer warrants that he is the bona fide legal owner of the vehicle and that it is free from any charge, encumbrance or outstanding notice, fine or duty payable under the Road Traffic Ordinance and/or any other ordinance or subsidiary legislation and that there is no reason which shall prevent the registration or transfer of the vehicle by the Seller or its successors, in title and the Buyer shall:-
    1. produce to the Seller that Hong Kong Vehicle Registration Document; and
    2. sign the appropriate transfer of vehicle form; and
    3. do such other things as may be required by the Seller to effect transfer of ownership of the vehicle and pay to the Seller its expenses incurred in effecting such transfer.
  14. It shall be a condition of any hire purchase transaction effected through the Seller in respect of the vehicle to be sold described in Part II overleaf that unless otherwise agreed in writing by the Seller the vehicle shall be insured the Seller’s own approved insurance company at the Buyer’s expense and a properly completed proposal form shall accompany the hire purchase documents.
  15. IT SI DRAWN TO THE ATTENTION OF THE BUYER THAT THE SELLER’S OFFICIAL RECEIPT IS THE ONLY DOCUMENT ADMISSIBLE BY THE SELLER ACKNOWLEDGING PAYMENT.
  16. The buyer shall not sell, export or transfer any vehicle(s) directly or indirectly to any place or country outside Hong Kong except for cases where the Buyer is an individual customer exporting or transferring the vehicle(s) for his or her own individual use.
    1. In event, at the request of the Buyer, the Seller arranges for any body work on the vehicle supplied, the Seller shall do so as agent of the Buyer only and shall not be liable to the Buyer for any defect in any such body supplied and in such circumstances the Seller expressly excludes any warranty as to the fitness or purpose of the vehicle supplied by the Seller or any liability for defect in such vehicle occasioned directly or indirectly as a result of the carrying out of such body work. It shall be the responsibility of the Buyer to satisfy himself of the suitability and workmanship of any such bodywork.
    2. Where the Buyer is given possession of a vehicle before the same has been licensed or paid for in full it shall be on the strict condition that such vehicle shall be at the Buyer’s risk in all respects and the Buyer shall arrange comprehensive insurance for the vehicle and keep the Seller fully and effectually indemnified against all loss claims or damages of whatever nature made or incurred in relation to the vehicle in respect of periods whilst the vehicle is out of the possession of the Seller.
  17. If the Buyer falls to take delivery of the vehicle(s) within 14 days of the notice above referred to then:
    1. he deposit monies referred to in Clause II (a) overleaf will be automatically forfeited to the Seller in lieu of damages for breach of contract buy without prejudice to the rights of the Seller to institute proceedings against the Buyer for breach of contract.
    2. The Seller shall have the right to sell the vehicle(s) to any third party at such price as the Seller in its absolute discretion considers the best price available without liability to the Buyer and without prejudice to the rights of the Seller against the Buyer for breach of contract.
  18. Service of any legal proceedings or notice of any other matter to be given in connection with this contract shall be deemed to have been duly given by the Seller or by the Buyer three days after it is posted by registered mail to the last known address of the Seller or the Buyer (as the case may be).
  19. Nov waiver by the Seller of any breach of contract by the Buyer or any period of grace granted by it shall prevent the subsequent enforcement by the Seller of the relative term of the contract and shall not be deems a waiver of any subsequent breach.
  20. The Buyer shall authorize the Seller to attend to all matters in relation to or in connection with the registration and/or licensing of vehicles.
  21. “The vehicle shall remain the property of the Seller until the price has been discharged in full. A cheque given by the buyer in payment shall not be treated as a discharge until the same has been clearer.”
  22. The Seller shall not be under any liability for any failure and/or delay to perform any of it obligations (including buy not limited to delivery of the vehicle to the Buyer) to the extent that such failure and/or delay results(s) from force majeure (as hereinafter defined). Following notification by the Seller to the buyer of such causes, the Seller shall be allowed a reasonable extension of time for the performance of its obligations. For the purposes of this Clause, “force majeure” means any events or circumstances beyond the control of the Seller including, without limitation, fire, explosion, flood, lightning, earthquake, epidemics, severe weather conditions, acts of God, acts of terrorism, wars, rebellions, riots, strikes or similar official labour disputes, lockouts, slowdowns, prolonged shortage of energy supplies, Governmental orders or restrictions, delays in transportation attributable to third party carriers (including flight/voyage delays deviations or cancellations) or delays attributable to customs authorities or accidents.
  23. The personal Data provided by the Buyer herein will be used for purposes relating to the purchase of vehicle, application for a provision of vehicle insurance and/or finance, maintenance and/or repair of vehicle, assessment, maintenance and improvement of the services provided by the Seller, and marketing of products and/or services of the Seller and/or its affiliates, subsidiaries or associated companies and all other incidental and associated purposes directly relating thereto. Personal data held or used by the Seller for the purposes hereinabove mentioned will be kept confidential. If the Buyer does not wish to receive any direct marketing promotion or materials from the Seller and/or its affiliates, subsidiaries or associated companies, the Buyer ma indicate his/her choice in Order Form or send the request to cease to use hi/her personal data to the Customer Experience Department of the Seller, Nova Motors Limited at Unit 1108 of 11/F, Tower B, Manulife financial Centre, 223-231 Wai Yip Street, Kwun Tong, Kowloon, Hong Kong or by email to unsubscribe@inchcape.com.hk and such request shall be process by the Seller with no charge. The Buyer’s request for personal data access and correction should also be addressed to the Customer Experience Department of the Seller at the address mentioned hereinabove.

*This agreement shall be executed both in English and in Chinese but in the event of any difference of inconsistence between the versions of this agreement, the English language version shall prevail in all respects.
